PLEASE READ THESE TERMS AND CONDITIONS ("AGREEMENT") CAREFULLY. BY ACCESSING OR USING THE ORTA PLATFORM ("PLATFORM"), YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANY PROVISION OF THIS AGREEMENT, YOU MUST NOT USE THE PLATFORM.

This Agreement governs the use of Orta ("We," "Us," or "Our"), a platform designed to facilitate project management and collaboration for individuals, teams, and organizations. By accessing or using Orta, you ("User," "You," or "Your") acknowledge and agree to comply with these terms.

Acceptance of Terms

1.1. Binding Agreement
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and any future modifications.

1.2. Authorization
If you are accessing the Platform on behalf of an organization, you represent that you are authorized to bind the organization to these Terms.

User Accounts and Security

2.1. Registration
You must provide accurate and current information during the registration process. Each account is intended for personal use only and should not be shared.

2.2. Security Obligations
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify Orta immediately if you suspect any unauthorized use of your account.

2.3. Account Activity
You are responsible for all activity that occurs under your account. Failure to secure your account may result in suspension or termination without notice.

Use of the Platform

3.1. Authorized Purposes
The Platform is designed to facilitate internal communication, collaboration, and the sharing of information within designated workspaces. You agree to use the Platform only for its intended purposes.

3.2. Workspace Transparency
Orta values transparency within organizational workspaces; however, all communications and shared Content must remain within the confines of the Workspace unless prior written authorization is obtained for external disclosure.

3.3. Permitted and Prohibited Conduct
You agree not to:

  • Post, share, or transmit any Content that disparages, defames, or harms the reputation of any individual or organization.
  • Distribute confidential or sensitive Legal Data/Information outside of authorized contexts.
  • Engage in any activity that violates applicable laws, regulations, or these Terms.
  • Use the Platform for any fraudulent, deceptive, or unauthorized purpose.

Intellectual Property

4.1. Ownership Rights
All proprietary rights in the Platform, including software, design, and technology, are owned by Orta or its licensors.

4.2. User-Submitted Content License
By uploading or posting Content on the Platform, you grant Orta a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content solely for the purpose of operating and improving the Platform.

4.3. Third-Party Materials
Content provided by third parties remains subject to their respective rights and licenses. You are responsible for ensuring that any Content you upload does not infringe upon any third-party rights.

Privacy and Data Protection

5.1. Data Collection and Use
Orta collects and processes personal data as described in our Privacy Policy. Your information is used primarily for account management, analytics, and service improvement.

5.2. Confidentiality
All information shared within a Workspace is deemed confidential and must not be disclosed outside of the organization without explicit permission.

5.3. Security Measures
While Orta implements reasonable technical and organizational measures to protect your data, no method of transmission or storage is completely secure. You acknowledge and accept this risk.

Payment and Subscription

6.1. Subscription Plans & Billing

Plan Options:

Orta offers a Free Trial (Pro Plan), Free Forever (Student Category), Basic, and Pro plans. Each plan details its associated features and usage limits, as specified on our website.

Billing Cycle & Payment Frequency:

Billing is conducted on a monthly or yearly basis, based on your selected plan.

The billing cycle starts on the date your subscription is activated.

Accepted Payment Methods:

Payments are processed securely through Razorpay.

You must provide a valid billing address and a working payment method at checkout.

Failed Transactions:

For your first-time subscription, in case of a payment failure, you will receive an email notification with a link to retry the payment.

6.2. Auto-renewal

Automatic Renewal:

Your subscription will automatically renew at the end of each billing cycle, continuing under the same terms unless canceled in advance.

Failed Transactions & Grace Period

In the event of a failed transaction during auto-renewal, you will receive an email notification with a link to retry the transaction. Users will be provided a three-day grace period to complete repayment in the event of a payment failure. If repayment is not made within this period, access to the workspace will be denied until the outstanding payment is resolved.

Opt-Out Mechanism:

Auto-renewal cannot be turned off separately. To stop future renewals, users must cancel the subscription entirely via the Billing section before the next billing cycle begins.

6.3. Taxation and Currency

Currency:

All fees are quoted and collected in Indian Rupee (INR) unless otherwise stated.

Taxation – India

Applicable taxes are calculated based on your billing address. For customers in India, an 18% Goods and Services Tax (GST) is applied to digital services, including software subscriptions, in accordance with local tax laws. This tax is added at checkout and is itemized on your invoice.

Taxation – Other Countries

Taxes on digital services vary by country and are determined based on your billing address and applicable local tax laws. Depending on your location, taxes such as VAT, GST, or other digital service levies may be applied at checkout and will be itemized on your invoice.

6.4. Price Change

Notice of Price Change:

Orta reserves the right to change its subscription fees. In the event of any price change, we will provide a minimum of 30 days’ notice via email and update the pricing information on our website.

Effective Date:

Any new pricing will take effect on the renewal date of your subscription, following the notice period.

Consent and Acceptance:

Continued use of our service after new pricing takes effect constitutes your acceptance of the updated rates. If you disagree with the new pricing, you must cancel your subscription before the renewal date.

6.5. Trial Period Conditions

Trial Duration:

Orta offers free trial periods (e.g., 60 days) during which you can explore the core features of your chosen plan.

End of Free Trial Period

At the conclusion of your free trial, you will receive a notification prompting you to upgrade your plan. If you do not upgrade, your workspace will be suspended, and access will be restricted until a paid subscription is activated.

Trial Period Conclusion

The trial period cannot be canceled once initiated. A reminder email will be sent prior to the trial period’s conclusion, prompting you to upgrade your plan.

6.6. Cancellation & Refund Policy

Cancellation Procedure:

To cancel your subscription, please navigate to the Billing section on your account or contact our support team.

Refund Policy:Refund Policy:

All payments are non-refundable. No refunds will be provided for any unused portion of a subscription period.

If a payment is debited from your bank account but not received by us, the amount will be automatically refunded to your original payment method within 5 to 7 business days, depending on your bank’s processing time.

6.7. Support & Dispute Resolution

For any issues or disputes regarding billing and payments, please contact our support team through the Billing section or via email at support@ortaapp.com.

Dispute Handling:

We are committed to resolving disputes amicably through our internal procedures prior to any legal escalation.

Disclaimers and Limitation of Liability

7.1. Service Provided “As Is”
The Platform is provided on an “as is” and “as available” basis without any warranties of any kind, whether express, implied, statutory, or otherwise.

7.2. No Legal Advice
Any Legal Data/Information provided on the Platform is for informational purposes only and does not constitute legal advice. Users should consult a qualified legal professional before relying on such information.

7.3. Limitation of Liability
In no event shall Orta be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless Orta, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

● Your use of the Platform.
● Your violation of these Terms.
● Any Content you upload, post, or transmit through the Platform.

Termination and Suspension

9.1. Right to Terminate
Orta reserves the right to suspend or terminate your access to the Platform immediately, without prior notice, for any conduct that violates these Terms or any applicable law.

9.2. Effect of Termination
Upon termination or suspension, your right to use the Platform ceases immediately. You are responsible for retrieving any data you have stored on the Platform before termination.

Modifications to the Terms

10.1. Amendments
Orta reserves the right to update these Terms & Conditions at any time. Significant changes will be communicated via email and updated on our website along with the updated date.

10.2. Continued Use
Your continued use of the Platform following any such modifications constitutes your acceptance of the revised Terms.

Governing Law and Dispute Resolution

11.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

11.2. Jurisdiction
Any legal action arising out of or related to this Agreement shall be brought exclusively in the courts located in Tanjore, Tamil Nadu, and you consent to the jurisdiction and venue of such courts.

Miscellaneous

12.1. Entire Agreement
This Agreement, along with our Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and Orta regarding the use of the Platform and supersedes all prior or contemporaneous communications and proposals.

12.2. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3. Waiver
The failure of Orta to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that provision.

12.4. Assignment
You may not assign your rights or delegate your obligations under this Agreement without the prior written consent of Orta. Orta may assign its rights and obligations under this Agreement at its sole discretion.
